END-USER LICENSE AGREEMENT (EULA)

This End-User License Agreement ("EULA") governs the licensing and use of the Woodsystems Software Inc. software platform, including all related applications, modules, updates, and documentation (collectively, the "Software").
This EULA is incorporated by reference into, and forms part of, the Terms of Service between you and Woodsystems Software Inc. ("Company," "we," or "us"). In the event of a conflict, the Terms of Service control.
By accessing or using the Software, you agree to be bound by this EULA.
1. License Grant
Subject to your compliance with this EULA and an active subscription under the Terms of Service, Company grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Software solely for your internal business operations.
This is a license—not a sale.
No ownership rights are transferred to you.
2. License Scope & Authorized Users
2.1 Authorized Use
You may use the Software only:
- For lawful business purposes
- In accordance with your subscription plan
- By authorized users associated with your organization
2.2 Access Controls
You are responsible for:
- Managing user access
- Ensuring users comply with this EULA
- All activity conducted under your account credentials
3. License Restrictions
You shall not, directly or indirectly:
- Reverse engineer, decompile, disassemble, or attempt to derive source code
- Modify, copy, translate, or create derivative works
- Sell, sublicense, rent, lease, or commercially exploit the Software
- Provide access to unauthorized third parties
- Circumvent technical limitations or security features
- Use the Software to build or benchmark a competing product
Any attempt to do so constitutes a material breach.
4. Intellectual Property Rights
The Software, including all:
- Source code
- Architecture
- Algorithms
- Interfaces
- Trademarks and branding
- Documentation
are and remain the exclusive property of Company and its licensors, protected by U.S. and international intellectual property laws.
5. Updates & Modifications
Company may:
- Deploy updates, patches, bug fixes, and enhancements
- Modify or discontinue features
Updates may be installed automatically and are considered part of the Software.
6. Customer Data
Your use of Customer Data is governed by:
- The Terms of Service
- The Privacy Policy
- The Data Processing Addendum (DPA) (where applicable)
You retain ownership of Customer Data. Company processes Customer Data solely as described in those agreements.
7. Feedback
Any feedback, suggestions, or ideas you provide regarding the Software may be used by Company without restriction, compensation, or attribution, irrevocably and worldwide.
8. Suspension & Termination
8.1 Termination
This EULA terminates automatically upon:
- Termination of your subscription
- Violation of this EULA or the Terms of Service
8.2 Effect of Termination
Upon termination:
- All license rights immediately cease
- Access to the Software is revoked
- Data retention and deletion follow the Terms of Service and Privacy Policy
9. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE."
TO THE MAXIMUM EXTENT PERMITTED BY LAW, COMPANY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES
- COMPANY'S TOTAL LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM
This limitation applies regardless of legal theory.
11. Export Controls
You agree to comply with all applicable export control and sanctions laws and represent that you are not located in a prohibited jurisdiction.
12. Governing Law & Dispute Resolution
This EULA is governed by the laws of the State of Kansas, without regard to conflict of law principles.
Any disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules, conducted in Kansas.
Class actions are waived.
13. Entire Agreement
This EULA, together with the Terms of Service and Privacy Policy, constitutes the entire agreement governing use of the Software and supersedes all prior agreements or understandings.
